More Than Stites & Harbison

Bill lives in Sandy Springs, Georgia with his wife, Helene and their Shetland Sheepdog, Cooper. Although Bill is a New York native and started his legal practice with a large firm in Boston, Massachusetts, Bill is an avid Atlanta sports fan, having raised his family in Atlanta. Since moving to Atlanta, Bill has been an active University of Pennsylvania alumnus, interviewing high school students applying to Penn. For many years, Bill spent most of his free time following his three sons’ exploits in baseball from youth baseball to college. Now that their baseball careers are over, he is looking for new hobbies (tennis and hiking being current contenders).

Future of the Corporate Transparency Act is Uncertain

With the January 1, 2025, deadline for beneficial ownership information filings pursuant to the Corporate Transparency Act (the “CTA”) for entities formed prior to 2024 rapidly approaching, Judge Amos L. Mazzant III of the US District Court for the Eastern District of Texas preliminarily enjoined the enforcement of the CTA and its related regulations nationwide. Alison Zeitlin takes a look at what is happening in this Stites & Harbison Client Alert.

The Corporate Transparency Act: Is Your Business Prepared For Sweeping New Federal Reporting Requirements?

On January 1, 2021, with bipartisan support, Congress enacted the Corporate Transparency Act (“CTA”) as part of the National Defense Authorization Act for Fiscal Year 2021 (“NDAA”) when it overrode former President Trump’s veto of the NDAA. As part of an effort to combat money laundering, the financing of terrorism, and other illicit activities, the CTA requires business entities formed or registered in the United States that fall within the definition of a “reporting company” to disclose beneficial ownership information to the Financial Crimes Enforcement Network (“FinCEN”) of the Department of Treasury. While the purpose of the legislation may be commendable, it casts an extremely wide net and imposes new compliance burdens on businesses beginning in 2024.
